These terms apply to services provided by Techmedia Mobile Pty Ltd (ABN 29 150 533 903, ACN 150 533 903), trading as TechMedia (“we”, “us”, “our”), to the person or business engaging us (“you”, “client”).
They apply when you accept a quote, engage us in writing, or pay an invoice. Browsing this website does not by itself make you a party to these terms. Where we sign a separate agreement with you, that agreement prevails to the extent of any inconsistency.
If you are acquiring services as a consumer under the Australian Consumer Law, nothing in these terms excludes your statutory rights. See section 14.
We provide IT support, managed services, Microsoft 365 work, website design and development, WordPress care plans, SEO auditing and remediation advice, and AI workflow consulting.
Service-specific terms appear in the schedules:
Where a schedule conflicts with the body of these terms, the schedule prevails for that service.
3.1 All prices are in Australian dollars.
3.2 Prices shown to the public include GST. Where we display a price on this website or in consumer-facing material, the price shown is the total payable including GST. Where a price is shown excluding GST for a business audience, the GST-inclusive amount is shown alongside it.
3.3 Business quotations may be issued exclusive of GST, clearly marked, for clients who are registered for GST and acquiring the services for business purposes. We are registered for GST.
3.4 Quotes are valid for 30 days from issue unless stated otherwise. Quotes assume the scope described. Third-party costs such as licences, hosting, domains, stock assets and hardware are additional unless itemised.
3.5 Deposits. Some projects require a deposit before work starts, as stated in the quote. This is typically 50% for website projects. A deposit is not a separate or non-refundable fee: it is credited against the total project price. If you cancel, we invoice for work performed and costs committed to that date, apply the deposit against that amount, and refund any balance. Where a consumer has a different entitlement under the Australian Consumer Law, that entitlement applies.
3.6 Payment methods. We accept payment by invoice and bank transfer. We do not accept card payments through this website, and we do not store card details.
3.7 Invoices are due within 14 days unless the quote or invoice states otherwise.
3.8 Overdue accounts. We do not charge a late payment fee or default interest. We may suspend work and services on an undisputed overdue invoice after giving you written notice, and we may recover reasonable costs of recovering an undisputed debt where the law allows.
3.9 We may adjust recurring pricing by giving 30 days written notice. You may cancel a recurring service before the change takes effect without penalty.
4.1 Provide accurate information and timely access to systems, accounts, content and people needed to deliver the work.
4.2 You are responsible for content you supply, including that it does not infringe intellectual property, breach confidentiality or breach any law.
4.3 Delays in approvals or feedback may affect timelines and may require re-quoting.
4.4 Keep your own backups of business-critical data unless you have purchased a managed backup service.
5.1 The scope is what is written in the accepted quote or the applicable schedule.
5.2 Changes must be recorded in writing. We will tell you the effect on price and timeline before starting additional work, and may issue a revised quote.
5.3 Work outside the agreed scope is not covered by the original price.
6.1 Delivery dates are estimates unless expressly agreed as fixed.
6.2 For project work we will tell you when a deliverable is ready for review. You have 7 days to accept it or tell us in writing what does not meet the agreed scope.
6.3 If you do not respond in that period we will follow up in writing before treating a deliverable as accepted. Using a deliverable in production, or paying the final invoice, is taken as acceptance, except for defects you could not reasonably have detected.
6.4 Genuine defects in our work reported within the period in Schedule B are corrected at no charge. Changes of mind, new requirements and third-party changes are new work.
7.1 You may cancel a project by written notice. You will be invoiced for work performed and costs committed to that date, plus third-party costs already incurred and not recoverable.
7.2 Recurring services are cancellable with 30 days written notice, effective at the end of the current billing period. Fees paid for the current period are not refunded except where clause 7.4 applies.
7.3 We may cancel a service by written notice. If we cancel for a reason within our control, we will refund fees paid for work not performed.
7.4 Nothing in this section limits your rights under the Australian Consumer Law, including any remedy where a service is not supplied with due care and skill, is not fit for a disclosed purpose, or is not supplied within a reasonable time. Where a service fails to meet a consumer guarantee, you are entitled to the remedy provided by law, which may include a refund or re-supply.
8.1 Some services depend on third parties such as hosting providers, domain registrars, software vendors and platform APIs.
8.2 Those services are governed by the third party’s terms and pricing. We are not responsible for their outages, delays, price changes, policy changes or discontinuation. This does not reduce our responsibility for the services we provide: we remain responsible for selecting and configuring third-party services with reasonable care, for meeting our commitments under these terms, and for any obligation we have under the Australian Consumer Law.
8.3 Unless we agree in writing to manage a third-party account for you, accounts are held in your name and you remain responsible for renewals, including domain renewals.
8.4 We do not offer an uptime commitment. Where we resell or manage hosting, availability is governed by the underlying provider’s terms.
9.1 You retain ownership of your data.
9.2 Unless a managed backup service is purchased, you are responsible for your own backups.
9.3 Where we provide backups, they are taken on the schedule described in the applicable schedule or service page and restored on request. Backups are a recovery measure, not an archive.
9.4 We are not liable for data loss caused by third-party platforms, client-side changes, malware introduced through credentials we do not control, or events outside our reasonable control. This does not apply where the loss results from our own failure to take reasonable care, from our breach of these terms, or from a failure to meet a consumer guarantee.
10.1 On full payment you own the deliverables created specifically for you, excluding third-party and pre-existing materials.
10.2 We retain ownership of our pre-existing tools, templates, frameworks, code libraries and methodologies, and grant you a non-exclusive, perpetual licence to use them as embedded in the deliverables.
10.3 Until full payment you have a limited licence to use deliverables for evaluation and internal review only.
10.4 Third-party assets such as themes, plugins, fonts and stock images remain subject to their own licences. Ongoing licence fees are yours unless the quote says otherwise.
10.5 Portfolio use. We will not publish identifiable client material, including a client’s name, logo, screenshots or a description that identifies the client, unless we have your permission. Permission may be given in the quote, by email, or in a separate consent, and may be withdrawn in writing for future use.
11.1 Each party will keep the other’s confidential information confidential and use it only to perform the engagement.
11.2 This does not apply to information that is public, independently developed, already known without a duty of confidence, or required to be disclosed by law.
11.3 These obligations survive termination for 3 years.
11.4 On request, each party will return or destroy the other’s confidential information, except where retention is required by law or for backups.
12.1 We handle personal information in accordance with our Privacy Policy and, where it applies, the Privacy Act 1988 (Cth).
12.2 Where we access personal information held in your systems to deliver services, we do so as directed by you and only for that purpose.
13.1 Provide access through named accounts where possible, and tell us before sharing administrator credentials with third parties.
13.2 We may use remote access tools to deliver support, and will not access systems outside the engagement scope.
13.3 Tell us promptly if you suspect a security incident involving systems we manage.
14.1 Nothing in these terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy you may have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)), or under any other law that cannot lawfully be excluded.
14.2 Our services come with guarantees that cannot be excluded. If a service does not meet a consumer guarantee, you are entitled to the remedy the law provides. Depending on whether the failure is major or not, that may include correction or re-supply of the service, a refund, compensation for a reasonably foreseeable loss, or cancellation of the contract. We will not require you to accept a more limited remedy than the law provides, and we will not charge you for correcting a failure that is our responsibility.
14.3 A term of a consumer contract that is unfair may be void. If any term of these terms is found to be unfair or unenforceable, it will be severed and the rest continues.
15.1 We take responsibility for our work. If work we performed is defective, we will correct it, or refund the fee paid for that work, at your choice, in addition to any remedy you have under the Australian Consumer Law.
15.2 Nothing in these terms excludes or restricts liability that cannot lawfully be excluded or restricted, including the guarantees in section 14, liability for death or personal injury caused by negligence, fraud, or any other liability that the law does not permit us to limit. We do not cap our liability at a multiple of fees or at any other fixed figure.
15.3 To the extent the law allows, we are not responsible for loss caused by matters outside our reasonable control, such as a third-party platform outage, a change to a third-party service, or your own acts or omissions. Nothing in this clause reduces any right you have under the Australian Consumer Law.
15.4 Any time limit for bringing a claim is the one set by law. These terms do not impose a shorter contractual deadline.
16.1 Either party may end an engagement on 30 days written notice.
16.2 We may suspend or end services if an undisputed invoice is more than 14 days overdue and we have given 7 days written notice that services will be suspended, if we are asked to do something unlawful, or if you breach these terms and do not remedy the breach within 14 days of notice.
16.3 You may end a recurring service immediately where we commit a material breach that we do not remedy within 14 days of notice.
16.4 On termination you must pay for work performed and costs committed to the termination date.
16.5 Once outstanding invoices are paid, we will provide deliverables and transfer or release access we hold, in the state it is in.
16.6 Clauses that by their nature should survive termination do survive, including confidentiality, intellectual property, liability and governing law.
16.7 Termination does not affect rights that accrued before it, including consumer guarantee rights.
17.1 The party raising a dispute will give written notice describing it and the outcome sought.
17.2 Both parties will attempt to resolve it in good faith for 20 business days from that notice.
17.3 If unresolved, either party may propose mediation. Mediation is not a precondition to court or tribunal proceedings, and either party may take a dispute to a court or tribunal, including a small claims tribunal, at any time.
17.4 Nothing in this clause prevents either party from exercising rights under the Australian Consumer Law, including complaining to a regulator.
Neither party is liable for failure to perform caused by events outside its reasonable control, including natural disasters, network or provider outages, industrial action or government action, provided the affected party notifies the other promptly and takes reasonable steps to mitigate.
19.1 Entire agreement. These terms, the accepted quote and any applicable schedule form the entire agreement and replace prior discussions on the same subject.
19.2 Severability. If a clause is unenforceable, it is severed and the rest continues.
19.3 Assignment. Neither party may assign an engagement without the other’s written consent, except to a related entity on notice.
19.4 Subcontracting. We may engage subcontractors and remain responsible for their work. Where a subcontractor processes personal information, our Privacy Policy applies.
19.5 Notices. Notices must be in writing. Notices to us: sam@techmediamobile.com.au. Notices to you: the email address you have nominated.
19.6 No waiver. Delay in enforcing a right is not a waiver of it.
19.7 Variation. We may publish a new version of these terms for future engagements. Changes do not apply to an engagement already accepted, and do not apply retrospectively to work already performed, unless you agree in writing.
19.8 Governing law. These terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.

A2. Billing. Monthly in advance, monthly rolling.
A3. Cancellation. 30 days written notice, effective at the end of the current billing period. No refund for the current period except as provided by clause 7.4.

A6. Client obligations. Keep admin access current, maintain your own copy of content, and tell us before installing unvetted plugins.
A7. Suspension. We may pause plan work on an overdue invoice only as set out in clause 16.2, including the requirement for seven days written notice that services will be suspended. We may also pause plan work while an unaddressed security risk remains on the site after notice.
B1. Scope. The build follows the sitemap and functionality in the accepted quote. Content, images and brand assets are supplied by the client unless the quote includes content production.
B2. Milestones and feedback. Client feedback is due within 5 business days at each milestone. Delays extend the timeline.
B3. Deposit. A 50% deposit applies to qualifying projects as set out in clause 3.5, unless the accepted quote states otherwise.
B4. Content responsibility. The client is responsible for the accuracy and legality of supplied content, and for rights to images and fonts.
B5. Revisions. Two rounds of revision are included at the design stage and two at the build stage. Further rounds are billed at our standard hourly rate, quoted before the work starts.
B6. Third-party components. Themes, plugins and licences are itemised in the quote. Ongoing licence costs are the client’s unless stated.
B7. Launch. Launch occurs after written acceptance and payment of outstanding amounts. We are not responsible for delays caused by the client’s DNS, hosting or third-party approvals.
B8. Defects. Genuine defects in our build are corrected free of charge for 30 days after launch. This does not limit any remedy you have under the Australian Consumer Law, and does not cover client changes, third-party updates or new requirements.
B9. Handover. On completion we provide administrator access and a handover note listing plugins, accounts and maintenance requirements.
B10. Maintenance. Not included unless a care plan is purchased.
C1. Audit only. CleanRank is an audit service. It delivers a written report against the published check categories. Implementation and remediation are not included and are quoted separately.
C2. Access. The audit requires access to the site and to the agreed analytics and search console data. Turnaround is normally within 48 hours of access. This is a target, not a guarantee.
C3. No outcome guarantee. We do not guarantee rankings, traffic, conversion rates or revenue. Results depend on search engine algorithm changes, competitor activity and site history, which are outside our control.
C4. Implementation responsibility. Where you or a third-party developer implement recommendations, we are not responsible for the implementation or its results. This does not reduce our responsibility for the accuracy of the audit we provide.
C5. Third-party tools. The audit may rely on third-party tools and data sources whose accuracy and availability are outside our control.
D1. What is delivered. Advisory and implementation work relating to AI workflows, as described in the accepted quote.
D2. Nature of AI outputs. AI systems are probabilistic. Outputs may be incomplete, inaccurate, non-deterministic or unsuitable for a particular purpose, and must be reviewed by you before being relied on, published, or used in a regulated process.
D3. Your responsibility. You are responsible for validating outputs, for decisions made using them, and for compliance with any law or industry obligation applying to your use case.
D4. No performance guarantee. We do not guarantee cost savings, accuracy rates, model behaviour, or that a third-party AI provider will maintain features, pricing, availability or data-handling terms.
D5. Providers named per engagement. Before work starts we will identify, in the quote or an engagement note, which AI providers will process your data and on what terms, including where data is processed outside Australia. We will not send client data to an AI provider that has not been identified to you.
D6. Vendor change. Model deprecations, API changes and vendor pricing changes are outside our control. Work required to adapt is new work unless the quote includes ongoing support.
D7. Not regulated professional advice. AI consulting is technical and operational advice. It is not legal, financial, medical or other regulated professional advice.
